Your use of Access Governance for Jira (the “App”) is governed by the Bonterms Standard End User Agreement (Version 1.0) — the standardized end-user agreement used for Atlassian Marketplace transactions — incorporated here by reference, together with the Provider-Specific Terms below. This Agreement is between you (“Customer”) and Kade Schemahorn (“Provider”). Capitalized terms not defined here have the meanings given in the Standard End User Agreement.
The parties enter into this Agreement when Customer subscribes to or installs the App through the Atlassian Marketplace; no separate signature is required. All ordering, billing, payment, renewals, cancellations, and refunds are administered by Atlassian through the Atlassian Marketplace, and the Marketplace provider is not a party to this Agreement.
The following additions to and modifications of the Standard End User Agreement are agreed by the parties and, in the event of any conflict, control over the Standard End User Agreement.
Provider grants Customer a limited, non-exclusive, non-transferable, revocable license to install and use the App for Customer’s internal business purposes, in accordance with the App’s documentation and the functionality made available on the Atlassian Marketplace. Customer will not, directly or indirectly:
This Agreement applies to Customer’s use of the App whether the license is obtained directly through the Atlassian Marketplace, through an Atlassian Solution Partner or authorized reseller, or through another distribution channel. Resellers are not authorized to make commitments on Provider’s behalf beyond the terms of this Agreement.
Where Provider processes personal data on Customer’s behalf, the Bonterms Data Protection Addendum (Version 1.0), as adopted by Provider applies and is incorporated by reference. The DPA takes effect automatically upon acceptance of this Agreement.
Provider’s technical and organizational measures are described in the Security Measures. In summary, the App is built on Atlassian Forge and runs entirely on Atlassian’s infrastructure (“Runs on Atlassian”); it uses read-only Jira scopes, performs no egress of Customer Data off the Atlassian platform, and stores derived data only in Atlassian-hosted Forge storage.
Support is provided by email at support@citizenkade.com and as described on the Support page. There is no separate Service Level Agreement; support is provided on a commercially reasonable efforts basis.
Except as expressly provided in the Standard End User Agreement or required by applicable law, the App and related services are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. This Section does not limit the express warranties, if any, set out in the Standard End User Agreement.
This Agreement is governed by the laws of the State of North Carolina, United States of America, and the parties submit to the exclusive jurisdiction of the state and federal courts located in North Carolina.
Customer Personal Data processed by the App is stored solely within Atlassian-hosted Forge storage; the App keeps no copy outside the Atlassian platform. Uninstalling the App triggers deletion of that data through the Atlassian Forge platform. In addition, upon Customer’s written request, Provider will delete (or trigger deletion of) the Customer Personal Data held in Forge storage without requiring uninstallation, and will provide written confirmation of that deletion. The parties agree this written confirmation satisfies any obligation to certify deletion under the Standard End User Agreement and the DPA; because the App runs entirely on the Atlassian platform, deletion is effected through Atlassian’s platform mechanisms.
For clarity, and without otherwise limiting or modifying the limitation of liability in the Standard End User Agreement, the fees “paid or payable to Provider” for purposes of that limitation means the subscription fees for the App remitted to Provider through the Atlassian Marketplace in the relevant period.
Bonterms, the publisher of the Standard End User Agreement, is not a party to this Agreement and has no responsibility to Provider or Customer regarding its terms or use. This Agreement is in the English language, which is controlling; any translation is provided for convenience only.
